Who we are

fwip is operated by Fwipit Pty Ltd (ABN 21 696 005 795, ACN 696 005 795), an Australian private company trading as fwip, of Wagstaffe NSW 2257, Australia. References to "fwip", "we", "us" or "our" mean Fwipit Pty Ltd. Contact us at [email protected].

What fwip is

fwip provides file tools in two parts: the Web Tools (browser-based utilities that run on your device) and the Offline App (a paid desktop app). The Web Tools are free to use and may be subject to usage limits, rate limits, fair-use controls or other restrictions we display on the site from time to time. The Offline App is sold as a paid licence.

Your files

Your files are yours. The Web Tools and Offline App process files locally on your device. For the Web Tools, your files are processed in your browser and are not uploaded to fwip servers. We don't claim ownership of your files, ask for rights to them, use them to train AI models, or sell them, because we don't have them. The one exception: if you choose to send us a file directly (for example, in a support email), we only have it because you sent it, and we use it only to help with your request.

The Web Tools

Free to use, subject to any limits we display. We may add, remove, modify, rename, combine or discontinue Web Tools at any time. We don't guarantee that every Web Tool will be available indefinitely, work with every file, or produce output suitable for every use case.

The Offline App

Subject to these Terms and payment of the applicable fee, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Offline App you purchased on up to three devices that you own or control, for personal use or internal business use. This licence does not transfer ownership of the software to you. Fwipit Pty Ltd retains all right, title and interest in the software.

What your purchase includes

When you buy the Offline App, you receive access to the product you purchased and updates we make available for that product while we continue to support it. This is a one-time purchase, not a subscription. It does not include separate products, new categories, enterprise features, integrations or separately released applications we may release later, which may be sold separately. We may add, change, remove, rename, combine or discontinue features over time. We don't guarantee that the Offline App will support every future operating system, hardware platform, file format or third-party dependency.

Payment

The Offline App is sold through Lemon Squeezy, which acts as merchant of record for your purchase. Lemon Squeezy is the seller of record for the transaction and is responsible for processing payment, collecting and remitting applicable sales tax, VAT or GST, and handling payment-related matters such as refunds and chargebacks. Fwipit Pty Ltd is the supplier and licensor of the software. Your purchase may also be subject to Lemon Squeezy's buyer terms. We receive confirmation of your purchase and the information needed to issue and validate your licence key. We don't receive or store your payment-card details.

Refunds

We offer a voluntary 14-day refund policy for the Offline App. If you're not satisfied, email us at [email protected] within 14 days of purchase. This 14-day refund offer is in addition to, and does not limit, any rights or remedies you may have under the Australian Consumer Law or other applicable consumer-protection laws. Because purchases are processed through Lemon Squeezy as merchant of record, refunds may be processed by Lemon Squeezy and may also be subject to their payment and refund processes.

Licence validation

When you activate the paid Offline App, it may contact Lemon Squeezy's licensing service to validate your licence key and the number of devices in use, to operate the licence and the 3-device limit. If validation fails, the Offline App may restrict or suspend paid functionality.

Acceptable use

You agree not to:

  • (a) reverse engineer, decompile or disassemble the software, except to the extent this restriction is prohibited by law;
  • (b) copy, resell, rent, lease, sublicense, share or redistribute the software or any licence key except as these Terms allow;
  • (c) circumvent, disable or interfere with any licence validation, usage limit or security feature;
  • (d) use fwip to process material you don't have the right to process;
  • (e) use fwip for any unlawful purpose or to infringe others' rights; or
  • (f) attempt to disrupt, overload, scrape or gain unauthorised access to any part of the service.

Intellectual property

fwip, the website, the tools, software, design, branding, copy, interface and logos belong to Fwipit Pty Ltd or its licensors. You may use fwip only as these Terms permit. Your files remain yours.

Not professional services

fwip provides file tools, not legal, accounting, tax, compliance, medical, archival, forensic or cybersecurity advice. We make no guarantees about:

  • the legal validity of electronic signatures;
  • the enforceability of any document;
  • the completeness, permanence or forensic security of redactions;
  • the removal of all metadata or hidden information;
  • the accuracy of conversions;
  • the preservation of formatting or file integrity; or
  • compliance with any law or standard.

For important, regulated, legal, confidential or business-critical documents, you should independently verify the output and seek professional advice where appropriate.

Backups and output files

You're responsible for keeping original copies and backups of your files before processing them, and for reviewing output files before deleting originals or relying on them. File processing can involve loss, compression, conversion errors, formatting changes, metadata changes, corruption or unexpected results. To the maximum extent permitted by law, we're not responsible for loss caused by your failure to keep backups or verify outputs.

Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified. To the extent we're legally permitted to limit our liability for failure to comply with a consumer guarantee, our liability is limited, at our option, to resupplying the relevant software or service, or paying the cost of having it supplied again.

No warranty

To the maximum extent permitted by law, and subject to the Australian Consumer Law section above, fwip is provided "as is" and "as available". We don't guarantee that fwip will be uninterrupted, error-free, secure, compatible with every file, or available at all times, or that outputs will be accurate, complete, legally valid, permanent, compliant or fit for a particular purpose.

Limitation of liability

To the maximum extent permitted by law, and subject to the Australian Consumer Law section above, our total liability arising out of or in connection with fwip, the Offline App, the Web Tools or these Terms is limited to the amount you paid for the relevant product. If you used only the free Web Tools, our liability is excluded to the maximum extent permitted by law. We're not liable for indirect, consequential, special or incidental loss, lost profits, lost data, business interruption, or loss arising from your use of output files or your failure to keep backups, whether the claim is based in contract, tort, negligence, statute or otherwise.

Changes to fwip

We may change, suspend or discontinue any part of fwip at any time, including tools, features, platforms, pricing, usage limits or licence options. Where changes materially affect paid users, we'll try to act reasonably.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date above. Continued use of fwip after changes are published means you accept the updated Terms.

Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, restructure or sale of the fwip business.

Force majeure

We're not liable for any failure or delay caused by events beyond our reasonable control, including outages, infrastructure or payment-provider failures, third-party service failures, natural disasters, government action, labour disputes or cyber incidents.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.

Entire agreement

These Terms, with any policies referenced in them, form the entire agreement between you and us regarding fwip, except to the extent this would exclude rights that cannot lawfully be excluded.

Governing law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales.
